How to register a business [Step bt Step]

Recently in in my life, I come across this topic, due to a long term plan for my own hosting business, I need to register a business name and get a license to ensure my business get trusted when deal with SME’s company.

Some explanation
Just make it as simple, register business (ROB) mean register a enterprise, or a sole proprietor business. Every one can register it if you would like to get a license for your business; how ever, register company (ROC) mean register your company with “Sendirian Berhad” SDN BHD or ‘Berhad” BHD.

My Experience
Before I start, let me tell you some story that I face, not to critic on government agency, I just offer my own opinion. Their service are SUXX…

To register a business or company (ROB or ROC), we need to look for a government agency name Suruhanjaya Syarikat Malaysia (SSM), most people manually went to their office to register business name or company name. At my state (Penang Island), they don’t have branch in Island, and need to go over the mainland for the registration, but they do offer twice a month, mobile counter open at “KOMPLEKS PASAR BAYAN BARU”.

During my registration, they reject my business name “Private Hoster“, which contain a “Private”, after check with few officer there, they sound like not friendly and keep on tell me cannot. I do search over their website (ssm.com.my), and found a lot business name contain this word, such as Private Taxi, Private loan enterprice, bla bla bla… After call to the branch at mainland, their operator pass me here and there, at the end, a officer told me “may be” last time can register with this word, but now “may be” the rules change.

What a ridiculous “may be“, and I did not give up, keep calling to their main branch and a in charge officer name Ms.Ruhaila attend me, she is very helpful, according to her, “private” did not sound special and should not be a problem at all. After that, she advice me to register over the Internet. and provide me the guide line via email.

Langkah-langkah menggunakan e-lodgement pendaftaran perniagaan:

a. Pendaftaran PSP


1. Anda dikehendaki mempunyai alamat emel

2. taip http://www.gov.my di dlm aplikasi pelayar internet

3. Klik Daftar

4. pilih jenis pendaftaran-klik warganegara

5. klik seterusnya

6. Borang pendaftaran pengguna portal mygoverment(PSP) akan tertera – pastikan maklumat yang bertanda * diisi-pastikan alamat emel anda betul

7. klik hantar

8.Skrin ‘pendaftaran berjaya’ akan tertera. emel pengesahan akan dihantar. Sila buka emel anda untuk aktifkan pendafatran dalam masa 30 hari.Jika tidak akaun akan dipadamkan

9. Buka emel dan klik pautan utk aktifkan pendaftran

10. Skrin akan tertera ‘ Akaun anda telah diaktifkan’. Klik pautan log masuk di atas.


b. Pendaftaran Pelanggan SSM


1. . taip http://www.gov.my di dlm aplikasi pelayar internet

2. Klik log masuk

3. Masukkan id pengguna dan kata laluan

4. klik log masuk

5. Taip SSM di kotak kata kunci dan ‘ search’

6. Senarai nama perkhidmatan akan tertera di skrin

7. pilih dan klik SSM- Pendaftaran “subsriber SSM”

8. Klik OK
9. Klik isi borang

10.Borang pendaftran “Subsriber ‘ SSM

11. Klik tamat

12.Klik ‘ok’ pada skrin data sudah disimpan

13. pilih ‘jenis subsriber’ samada ROC atau ROB atau ROB Dan ROC

14. klik ok, hantar

15. skrin maklumat bayaran akan tertera- ikut arahan bayaran

Below are some screen shot showing how to register a business name that I went through. Login into www.ssm.com.my and choose e-Lodgement or access www.ssm.com.my/en/services_eLodgement.php

Just some summary, click on:

2) PSP User Registration
Register your self as “PSP User Registration“, it will bring you over www.gov.my, is a government portal, which allow you to do various transaction over government agency. Remember to fill up all the information correctly, after sign up, check your email for activation link and activate it. (complete “ a. Pendaftaran PSP” above)

3) SSM Subscriber Registration
After sign up, you require to register your self as SSM subscriber over there. According to the step Ms.Ruhaila send me above are useless, I cannot search any result. To proceed the registration, you no need to come this e-Lodgement page, just click the “3. SSM subscriber registration” over the e-Lodgement page at ssm.com.my, it will bring you to the correct link at www.gov.my

* If you cant found the “open form” probably browser problem, change from firefox or IE or vise versa

To register as a SSM Subscriber, you need to paid RM5 (Blood sucker), but no choice I need to let it suck RM5, to avoid wasting time for those ridiculous “may be” and face those unprofessional officer over their branch.

To do the payment, you can choose to pay by credit card or debit card, even by online banking also can, just choose the “direct debit /FPX”, follow all the step, and once you successful sign up as subscriber, you can back to the E-Lodgement page, www.ssm.com.my/en/services_eLodgement.php

After become ssm subscriber, click on the

1. Application for business name approval
It will bring you to the “SSM – APPLICATION FOR BUSINESS NAME APPROVAL, scrool down to below, click on “Open Form” and fill up all. You may “save” the information if you cant make decision yet, once you feel the information are all correct, click “Finish”. After that, click “submit” it

CONDITIONS OF APPROVAL

  1. Application for Business Name that falls within the following categories will be rejected:
    • Name of business which does not reflect nature of business operated.
    • Name used by other business owner.
    • Usage of a personal name which is not the actual name of owner.
    • Usage of words prohibited by the Registrar.
    • Names subjected to the Registration of Businesses Rules 1957.
  2. Names that have been approved must not be amended/added with word or alphabet.
  3. This approval is non-transferable.
  4. A fresh application must be made if the business is not registered after the expiry of approval period.

For the above step, you need to wait for approval. I have submit few times, due to my business name are not qualify. 1st time reject without any reason, I need to call up to check, and they ask me to resubmit. 2nd time reject is because they need my business name to be 3 word, so I change it to Private Hoster Network, instead of Private Hoster only

You can check your status via www.gov.my website, after you login, click on “MyHome”, you will see your Online transaction, you can check the status there.

After get this approve, click on the service name, it will direct you to “SSM – APPLICATION FOR BUSINESS NAME APPROVAL” and open the form again, you need to copy down the refference number on the top right hand conner. example “ROB23052008-xxxxxxxxPSB”

I also receive an email from Gov.my

YOUR APPLICATION HAS BEEN APPROVED, PLEASE PROCEED WITH BUSINESS REGISTRATION FORM (FORM A)

2. Online Registration of Business
Go back to the e-Lodgement, click on “Online Registration of Business” at this page, scrool down to below, you need to fill up 5 step, 1st step, click on “Open Form A“, look for “NAME APPROVAL NO” fill up with the refference number you copy just now , click on “Verify name approval number. All the related field in the form A will be automatin fill up, just follow the step, to complete the form A.

Proceed to step2 until step 5, then submit the Online Registration Business, it will bring you to the payment

After finish the payment, very fast, I receive the feed back already, my registration of business name was success and approve.

I receive an email from Gov.my

PERMOHONAN ANDA DILULUSKAN.PERAKUAN PENDAFTARAN ANDA BOLEH DIPEROLEHI MELALUI E-MAIL (FAIL YG DILAMPIRKAN).ANDA BOLEH MEMBELI SALINAN MAKLUMAT PERNIAGAAN 24 JAM SELEPAS PENDAFTARAN PERNIAGAAN DILULUSKAN, MELALUI PERKHIDMATAN E-INFO DENGAN MELAYARI WWW.SSM.COM.MY ATAU DIMANA-MANA CAWANGAN SSM YANG TERHAMPIR.

Since I am doing business online, I no need to print the business certificate (cost RM10 per original print), I can use the above attachment to prove my business is legally register over Malaysia.

    Registering a business in Canada is very simple.

    There are only 2 steps!

    1) Get your company name approved.
    2) Take the name and file your startup date
    3) Incorporate your company (optional)

    wow that was so complicated lar… i do register ROB in KL and its fairly simple process…. i just get a runner to do it for me and pay them 20 bucks extra for their service.

    Considering trading RM20 for the hassle given by the gov staff, petrol and parking saving, and most important lots of time saved…

    just to add… its an offence and can get saman if you don’t have the original printout of Borang D from SSM.

    Below is what is printed on the backside of the borang D.

    “Perakuan pendaftaran dan perakuan cawangan hendaklah dipamerkan di tempat yang mudah dilihat. Mana-mana orang yang bertangungjawap tidak mempamerkan perakuan pendaftaran itu BOLEH DIDENDA SEBANYAK RM2,000 ATAU DIPENJARAKAN selama tempoh tidak melebihi 6 bulan atau kedua-duanya.”

    You need to printout of the 2/3pages of the maklumat perniagaan too.

    actually its up to you also coz if they never visit your office(which maybe your home) then u are save but what if they do? if you like gamble then okloh…

    Ya, I do understand the original print out is need to show to public, but as I mention above, my business is home base business, and no client will come my house to look for the original cert, it is “extra” if print out the real copy

    When it comes to dealing with government services, you can expect most of their services suxx. Unfortunately this is one thing that we have to bare with it. I too was considering registered a business name under enterprise, but maybe will do it later. Saman will only comes to you when you’re really earning a lot of money and getting a lot of attention. Before I can earn a lot of money online, I think I’ll just hold on to it a little bit longer.

    hi calvin this will benefit all malaysian. From what i can see you just paid rm65 for the whole registration. is that correct? i mean for overall cost until you get the certificate.
    and is this for enterprise or sdn bhd.

    Yes, total i paid is RM65 only, conventionally if you do it offline, probably need RM70 (Register RM60+ certificate Rm10)

    for mine one, I did not print original business certificate, so just save RM10, but need to paid RM5 for the subscriber fees…

    this registration is ROB (enterprise), cosider sole proprieter.

    Latest news is that i dont need an ori copy. Here’s the email i got:

    And in the cert, at the bottom you can see:
    “userid:mashitaDate:…”
    Mashita is the approver.

    So that means, just RM65 will do! Then print out the pdf file.

    The commerce date cannot be future, you just come back to register your business at Oct, or you can register the commerce date by the day you register or the days before …

    no future register, this is the disadvantage of it :(

    it is good government sector to have such online system.

    Now this is one pain is the ass online system i ever seen in my life.

    1. poor system interaction, bloody confusing, took more than 10 seconds to familiar with it. some modules even took more than 1 minutes to familiar with.

    2. upon 2 days of successfull registration, they send me a Business Permit does not belong to me but belong to some owner of kedai runcit from selayang.

    3. i called in the morning, no one pick up, i called just now regarding them sent me a wrong business permit, also nobody pickup.

    how can they sent someone else permit to me????? it would be helpful if they sent me a list of maybank2u account number together with password and cellphone number for tag!!!

    This afternoon I just called the agent asking him the price for registration and it is RM160. Compare to that I follow Calvyn steps I can save about RM100.

    Wanted to ask regarding the 5 steps involved for Online ROB. What is the “Open Form Branch” for? I dont intend to have any branch but after clicking the form, I just click save and then I can see the “1″ highlighted in red and I click the same form again and now I can see “1″ and “2″ in red. How? :(

    I filled up step 3 but step 4 and step 5 button is disable so I cannot do anything and the submit button is disable too. So how do I remove the branch form and proceed with the transaction? Please help !!

    Seed > You can change your nature of business soon, but mostly they does not care much, as long you does not sell illegal thing or the product are origin which have declare tax.

    I am using public bank to pay my subscriber fees, using the FPX mention above

    Good job you have done there but I still unable to get it right. So here are some steps similar like what you mentioned but a bit up to date and more straight forward (I hope).

    1. Goto http://www.malaysia.gov.my and click “Register” for a new account [Pendaftaran Pengguna Portal MyGovernment (PSP)]
    NOTE1: At the SignUp page, it will ask to register INDIVIDUAL or BUSINESS, just select Individual.
    NOTE2: If you are opening a business with a partner, please make sure your partner also register for this PSP. You will need it when you need to complete the Form A “Notify Business Partner”.
    2. Fill up all the required information and login to your email address to activate your account.
    3. Once activated, go to “www.malaysia.gov.my” again to login with your username and password.
    4. You will reach “My Portal” stating all your current application status & transaction.
    5. Go back to the main page “www.malaysia.gov.my” and at the left panel, search for “Quick Links” and then click “myServices & myForms”.
    6. When you are at “Services Advanced Search”, at the Keywords, type in “ssm” and press the button “Search”
    7. There will be a list of SSM application forms as shown below (the list was generated on 5 Aug 2009 and may changes across time)

    *4 SSM – SSM Subscriber Registration
    *5 SSM – Application for Business Name Approval (ROB)
    *6 SSM – Online Registration of Business (ROB)
    *7 SSM – Application for Renewal of Business Registration (ROB)
    *8 SSM – Online Business Updates (ROB)
    *9 SSM – Notification of Termination of Registered Business (ROB)
    *10 SSM – Request For Availability of Name (ROC)

    8. Select Item 4 which is “SSM – SSM Subscriber Registration”
    9. Fill up the form required in the SSM Subscriber Registration page provided and tick for “ROB” (Register of Business)
    NOTE: Not ROC, where ROC is for Registration for Company eg Sdn. Bhd which you need at least 2 Directors and min modal of RM50k etc… Whereas ROB, you do not need all that.
    10. Once it is completed, repeat Step 6 & 7 and select Item 5 which is “SSM – Application for Business Name Approval (ROB)”.
    11. Register for a PNA42 Business Name (cannot consist of special character, only alphabet)
    TIPS: Put the word “Enterprise” or “Trading” at the back of your desire business name so that your business will not be confined to only the particular item you sell. For example, if you put “ABC Boutique”, your business can only sell clothings and you can’t sell any other items.
    12. After you have completed the PNA42 form, wait for 2-24 hours to get your business name approved. you can check at http://www.malaysia.gov.my > LOGIN > My portal page for the application status mentioned in Step 4.
    13. Once it is approved, open the main page, goto “myForm & myServices”, at keyword search for “ssm” as mentioned before in Step 6 & 7
    14. Select for Item 6 for “SSM – Online Registration of Business (ROB)”
    15. Fill up the info required (it is a a long process for me too but just hold on considering the amount of time you can save without going to the SSM office)
    Note: If you are opening a business with a partner, please make sure your partner also register for the PSP mentioned in Step 1. Otherwise, you can not complete your Form A without notifying your business partner through email before you submit your form.
    16. After you have clicked the “SUBMIT”, you will need to pay for the Business Registration. It can be paid by several methods and pick the method you most comfortable of.
    17. Wait for another few hours or up to 24 hours to get your business approved by the authority at mentioned Step 4.
    18. When it is approved, you will received an email on your business approval letter by SSM. Print that letter and keep it for registering other official documents using your company (eg, Bank, Majlis Perbandaran, Legal issues etc)
    19. DONE! Congratulation you just get yourself a new business! Well Done!!

    NX, your steps are very clear, but when I come to step 8 and clicks on SSM – SSM Subscriber Registration, the system is only shown me Online Service in the centre of the website. this make me can not fill up the form and couldn’t continue to step 9 as well, please advice me. thank you.
